Terms and Conditions of Backona Products and Services
Effective Date: September 9, 2026
1. Introduction
Welcome to Backona, a service provided by Beespoke Services Ltd. These Terms and Conditions ("Terms") govern your use of Backona's products and services. By accessing or using our products or services, you agree to be bound by these Terms, our Privacy Policy, the Data Processing Agreement where it applies to you, and any other applicable policies. If you do not agree with these Terms, please refrain from using our products and services.
1.1. Legal Agreement
These Terms constitute a legally binding agreement between you (the "User") and Beespoke Services Ltd ("Backona," "we," "us," "our"). By using our Services, you affirm that you have read, understood, and agree to these Terms.
1.2. Age Restriction
You must be at least 18 years old to use our Services. By registering for an Account, you confirm that you meet this age requirement.
1.3. Dispute Resolution
All disputes arising out of or in connection with these Terms shall be resolved as outlined in Section 19.
2. Definitions
- Operator: Beespoke Services Ltd, trading as Backona.
- Website: The internet services accessible at backona.com, backona.ai and within subdomains.
- Services: Collectively, Backona's products and services, including but not limited to Backona AI (AI-powered analytics and insights), Backona CMP (Consent Management Platform), Backona CA (Clever Analytics), Backona SST (Server Side Tagging), consulting, and any other offerings provided by Backona.
- User: Any individual or entity accessing or using Backona's Services.
- Account: A registered User's personal space on the Website or within a Backona product.
- Subscription Fee/Plan: The payment plans for using Backona's Services.
- Trial Period: A period during which new Users can access limited Services for free.
- Agreement: The contract between the User and Operator based on these Terms.
3. General Provisions
3.1. Use of Services
Backona provides products and services including Backona AI (marketing data optimization, analytics integration, and AI-powered insights), Backona CMP (consent management), Backona CA (Clever Analytics), Backona SST (Server Side Tagging), and related consulting and support. Access to paid or restricted Services may require registration and agreement to these Terms; some offerings may have product-specific terms in addition to these Terms.
3.2. Operator Rights
We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We may also delegate the operation of the Website or any product to third parties if necessary to ensure the quality and continuity of the Services provided.
4. Account Registration
4.1. Account Creation
To access Services that require registration, you must create an Account by providing accurate and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account.
4.2. Subscription Plans
Upon registration, you may select a Subscription Plan based on your business needs. Subscription plans commence either immediately or after the expiration of the Trial Period, if applicable. Payment details must be provided during registration, and you agree to the recurring billing of the subscription fees.
4.3. Payment Terms
Subscription fees are billed on a monthly basis unless otherwise specified. We reserve the right to adjust pricing at our discretion. Users will be notified of any changes at least 30 days in advance. All payments are non-refundable except as expressly provided in these Terms.
5. Rules of Using the Website and Services
5.1. Compliance with Laws and Regulations
When using the Backona website and Services, you must comply with all applicable local, national, and international laws and regulations. You are solely responsible for ensuring that your use of our products and services does not violate any applicable laws or regulations. Any illegal or unauthorized use of the website or Services is strictly prohibited.
5.2. Prohibited Activities
To maintain the integrity and security of the Backona platform and our products, you agree not to engage in the following prohibited activities:
- Unauthorized Access: Attempting to gain unauthorized access to the Backona platform, products, servers, or networks connected to the website.
- Data Scraping: Using automated tools to scrape, extract, or collect data from the website or our products without prior written consent.
- Tampering with Security: Attempting to interfere with or compromise the security features of the website or our products.
- Impersonation: Misrepresenting your identity or affiliation.
- Spam and Phishing: Engaging in unsolicited commercial emails or phishing emails.
- Malicious Software: Uploading, distributing, or transmitting malicious software.
- Abuse of Services: Misusing the Services in any way that could impair the functionality of the platform or our products.
5.3. User Content and Conduct
As a User of Backona, you are responsible for all content you upload, post, or otherwise transmit through the website or our products. You agree to:
- Legal and Ethical Standards: Ensure that all content complies with applicable laws and ethical standards.
- Accuracy of Information: Ensure that all information provided is accurate, complete, and up-to-date.
- Prohibited Content: Refrain from posting or sharing illegal, harmful, or otherwise objectionable content.
5.4. Protection of Personal Data
You are responsible for protecting the personal data you input or share on the Backona platform. This includes obtaining necessary consents for third-party data and ensuring data compliance with applicable data protection laws.
5.5. Use of Account
Your account is personal and should not be shared. You agree to:
- Protect Your Credentials: Keep login information secure.
- Account Misuse: Prevent unauthorized access.
- Multiple Accounts: Avoid creating multiple accounts unless permitted.
5.6. Content Ownership and Responsibility
You retain ownership of the content you upload to the Backona platform but are solely responsible for its legality, reliability, accuracy, and appropriateness. You grant Backona a license to use, store, and process your content in line with these Terms.
5.7. Respect for Intellectual Property
Respect intellectual property rights of Backona and other users, and do not copy, distribute, or create derivative works without authorization.
5.8. Monitoring and Enforcement
Backona reserves the right, but is not obligated, to monitor user compliance with these Terms.
6. Services Provided
6.1. Description of Services
Backona offers a range of products and services, including Backona AI, Backona CMP, Backona CA (Clever Analytics), Backona SST (Server Side Tagging), and consulting or other professional services. Product packages and features vary; we reserve the right to alter features as necessary. Product-specific functionality (e.g. AppSumo deals for Backona AI) is described where applicable in these Terms.
6.2. Modifications
We may modify product and service features, functionality, and content. Users will be notified of significant changes.
6.3. Backona CMP — Product-Specific Terms
The following terms apply in addition to the rest of these Terms where you use Backona CMP (Consent Management Platform). Where they conflict with a general provision of these Terms, these terms prevail in respect of Backona CMP.
6.3.1. A Tool, Not a Compliance Guarantee
Backona CMP is a tool designed to help you obtain, record and act on the consent of visitors to your properties. Deploying it does not, by itself, make you compliant with the UK GDPR, the EU GDPR, PECR, the ePrivacy Directive, the CCPA or any other privacy law. Compliance depends on how you configure and use the tool, on the rest of your website and marketing stack, and on legal judgements that only you can make. Backona does not provide legal advice, and nothing in the product, its documentation, its default texts or its templates constitutes legal advice.
6.3.2. Your Role and Ours
When you deploy a Backona CMP banner, you are the data controller for the consent data of your visitors and Backona is your data processor. The terms of that relationship are set out in the Data Processing Agreement. See also Section 10.4.
6.3.3. Your Configuration Responsibilities
You are solely responsible for configuring Backona CMP correctly, including:
- Declaring your technologies: identifying the cookies, tags, pixels, scripts and similar technologies actually present on your properties and declaring them accurately in your configuration. Backona does not scan, crawl or audit your properties to discover them, and does not verify that your declarations are accurate or complete.
- Category mapping: assigning each technology to the correct consent category, and classifying a technology as strictly necessary only where that classification is justified.
- Consent gating: ensuring that non-essential technologies do not execute before the corresponding consent has been given. Backona CMP records and signals consent; it cannot prevent a script from running if your property loads that script outside the mechanisms the banner controls.
- Your own notices: writing, publishing and maintaining your privacy notice, cookie notice and any linked legal documents. Default or sample text supplied with the product is illustrative and must be reviewed and replaced by you.
- Legal basis and jurisdiction: determining which laws apply to your properties and which consent model, categories and default states those laws require.
6.3.4. Consent Signals to Third-Party Tools
Where you enable them, Backona CMP writes consent signals to consent-aware third-party tools in the visitor's browser, including Google Consent Mode and Microsoft UET, and honours the Global Privacy Control browser signal. Whether those tools then behave in a compliant manner depends on the tools themselves and on your configuration of them. Backona does not control, and is not responsible for, how a third-party tool interprets or acts upon a consent signal.
6.3.5. No IAB Transparency and Consent Framework
Backona CMP does not implement the IAB Europe Transparency and Consent Framework (TCF) and does not generate, store or transmit a TCF consent string. If your use case requires TCF (for example participation in certain programmatic advertising supply chains), Backona CMP is not a suitable tool for that purpose and you must not represent otherwise to your own customers or partners.
6.3.6. Interaction With Backona SST and Other Tag Delivery
Where a Backona CMP banner and a Backona SST (Server Side Tagging) container, a client-side tag manager, or any other tag delivery mechanism are used together, the two operate independently unless you connect them. Backona CMP does not automatically suppress tags fired by an SST container or by any tag manager. It is your responsibility to configure each tag delivery mechanism so that consent-dependent tags fire only where the corresponding consent has been recorded, and to test that the gating works end to end on your own properties. Using Backona CMP alongside Backona SST creates no presumption that the combination is configured compliantly.
6.3.7. Banner Delivery and Failure Modes
The consent banner is delivered as a script served from Backona infrastructure and executes in your visitor's browser. Its availability is therefore subject to Section 9 (Technical Interruptions) and Section 16 (Disclaimer of Warranties), and additionally to factors outside Backona's control, including your visitor's network, browser settings, extensions, content blockers, and your own content security policy and tag manager configuration. You are responsible for deciding how your properties should behave if the banner fails to load, and for testing that behaviour. Backona does not warrant that the banner will load or render for every visitor on every visit.
6.3.8. Consent Records and the Audit Trail
Records of consent actions are retained, exported and deleted as described in Section 11 of the Data Processing Agreement and Section 10.6 below. You are responsible for satisfying yourself that the retention period and the contents of the record meet your own evidential and regulatory requirements.
7. Fees and Payment
7.1. Subscription Fees
Each package has a monthly fee, which is clearly outlined during registration.
7.2. Automatic Renewal
Subscriptions automatically renew unless canceled before the renewal date.
7.3. Refund Policy
Refunds are issued according to our refund policy and are generally not available for partial months.
8. AppSumo Lifetime Deal Terms
8.1. Scope of the Offer
The AppSumo Lifetime Deal (the “Deal”) provides users with access to Backona AI’s services as outlined on the AppSumo deal page. By redeeming this Deal, you agree to be bound by both these Terms and the terms listed by AppSumo.
8.2. Definition of Lifetime
“Lifetime” refers to the duration of Backona AI’s availability as an active product or service operated by Beespoke Services Ltd. Lifetime access does not imply indefinite service availability in the event of business acquisition, product discontinuation, or major strategic pivots.
8.3. Eligibility and Activation
AppSumo codes must be redeemed within 60 days of purchase through the provided redemption flow. Codes not activated in time may be void, and Backona AI assumes no responsibility for unredeemed or lost codes.
8.4. One Code per Account
Each Google account may redeem only one AppSumo code. Stacking codes or combining lifetime deals with Stripe-based subscriptions is not permitted.
8.5. User Limitations
The Deal includes a fixed message quota and features based on the tier purchased (Tier 1 to Tier 5). Each user query counts as one message. AI responses, downloads, or visual generation do not count as additional messages.
8.6. Fair Usage Policy
Backona AI reserves the right to monitor usage to prevent abuse. Excessive or automated querying, account sharing, or activity that disrupts platform stability may result in access limitation or suspension.
8.7. Service Updates and Access
AppSumo users receive access to core features of Backona AI as of the date of code redemption. While updates and performance improvements may be included, new premium features, integrations, or services may be excluded unless otherwise stated.
8.8. Account Binding and Seat Management
Each Backona AI account is tied to a single Google login. Seat reassignment is permitted on Tier 3+ plans through the team management feature. Transfers outside this structure require written approval.
8.9. Third-Party Integrations
Backona AI relies on access to Google APIs (Google Analytics 4, Google Search Console, Google Ads), Facebook (Meta) Marketing API, and other third-party APIs. Continuity of these services is subject to change, and Backona AI is not responsible for disruptions resulting from changes in third-party availability, permissions, or terms of service.
8.10. Termination of Deal Access
Backona reserves the right to terminate or limit AppSumo lifetime access in the event of Terms violation, fraud, or abusive behavior. Refunds in such cases are subject to AppSumo’s refund policy.
8.11. Liability and Warranties
Lifetime access is provided “as-is” with no guarantees of uninterrupted service. Backona AI is not liable for loss of data, business disruption, or damages arising from use of the platform under this Deal.
8.12. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
8.13. Support Availability
Support for AppSumo lifetime deal users is provided exclusively via our ticketing system. We do not offer live chat, phone support, or guaranteed response times. Support is limited to usage guidance and technical issues related to the Backona AI platform.
9. Technical Interruptions
9.1. Service Interruptions
Users may be eligible for a prorated refund for outages. Requests must be submitted within 14 days.
9.2. Disclaimer of Liability
Backona is not liable for interruptions caused by third parties or events beyond our control.
10. Data Processing, Privacy and Roles of the Parties
10.1. Data Collection
Data is collected per our Privacy Policy. By using our Services, you consent to data collection as outlined.
10.2. GDPR Compliance
For EU Users, we comply with GDPR. Data rights requests can be directed to [email protected]. For further details on how we process and protect your data, please refer to our Privacy Policy.
10.3. Data Security
We implement industry-standard security measures to protect User data, though we cannot guarantee absolute security.
10.4. Controller and Processor Roles
Backona's role under data protection law depends on whose personal data is being processed and why.
Backona is the data controller for your own account, billing, support and product usage data as a Backona customer, and for personal data collected through Backona's own website. That processing is described in our Privacy Policy.
Backona is your data processor for personal data relating to visitors of your own websites and applications that we process on your instruction. This includes consent records collected through a Backona CMP banner you deploy, event data forwarded through a Backona SST container you configure, and data retrieved from third-party accounts you connect. For that personal data you are the data controller and you determine the purposes and means of processing. Under the CCPA and comparable U.S. state privacy laws, you are the business and Backona is a service provider.
10.5. Data Processing Agreement
Where Backona processes personal data on your behalf as described in Section 10.4, that processing is governed by the Backona Data Processing Agreement (the "DPA"). The DPA is incorporated into and forms part of these Terms, and you accept it when you accept these Terms. It sets out the subject matter and duration of the processing, the categories of personal data and data subjects, our obligations as processor, our security measures, our authorised sub-processors, international transfers, breach notification, assistance with data subject requests, retention and deletion, and your audit and information rights. 10.6. Consent Records and Audit Trail
Where you enable the consent audit log in Backona CMP, each consent action is recorded so that you can demonstrate consent as required by Article 7(1) UK GDPR. Each record is automatically deleted 24 months after the last consent action recorded against it, and the ten most recent actions are retained per consent identifier. Because the record is your evidence rather than ours, this retention applies whether or not your subscription remains active; terminating your subscription does not delete the trail. Each record is attributed to your client identifier and to the hostname the consent was given on, so an export or a deletion can be scoped to your records and, if you wish, to a single one of your websites. You may request an export at any time, including after termination, and as controller you may instruct us to delete records at any time. The full terms, and the contents of each record, are set out in Section 11 and Annex 1 of the DPA.
10.7. Security and Breach Notification
Our technical and organisational security measures are set out in Annex 3 of the DPA. Where we become aware of a personal data breach affecting personal data we process on your behalf, we will notify you without undue delay and provide the information you need to assess the breach, as set out in Section 9 of the DPA. Deciding whether a breach must be reported to a supervisory authority or to affected individuals is your responsibility as controller.
11. Intellectual Property Rights
11.1. Ownership of Intellectual Property
All content, software, designs, and other materials available on the Backona platform are the exclusive property of Beespoke Services Ltd.
11.2. Limited License to Users
Backona grants a limited, non-exclusive, non-transferable license to access and use its Intellectual Property in line with these Terms.
11.3. Trademarks and Branding
You are not permitted to use Backona trademarks without written permission.
11.4. User-Generated Content
Users retain ownership of any content they generate but grant Backona a license to use it as needed to operate services.
11.5. Prohibited Uses of Intellectual Property
Users agree not to:
- Reverse Engineer: Attempt to reverse engineer any Intellectual Property.
- Modify or Create Derivative Works: Without explicit authorization.
- Sell or Lease: For commercial purposes.
- Infringe on Rights: Use in any way that infringes on intellectual property rights.
11.6. Reporting Intellectual Property Infringements
If you believe any content on Backona infringes your intellectual property rights, notify us at [email protected] with:
- A description of the claimed infringement.
- Information to help locate the infringing content.
- A statement of good faith belief that the disputed use is unauthorized.
11.7. Protection of Backona's Intellectual Property
Unauthorized use of Backona's Intellectual Property will be pursued to the fullest extent permitted by law.
11.8. Contributions to Backona
By providing feedback or suggestions, you acknowledge that Backona can use them without obligation.
11.9. Third-Party Intellectual Property
Use of third-party software is subject to third-party licenses.
11.10. Reservation of Rights
All rights not expressly granted are reserved by Backona and its licensors. Unauthorized use may result in revocation of your license and legal action.
12. User Content and Contributions
12.1. Responsibility for Content
Users are solely responsible for the content they post or request through our Services. This includes ensuring that the content does not violate any third-party rights or applicable laws.
12.2. Content Removal
Backona reserves the right, but is not obligated, to remove any content that violates these Terms, infringes on third-party rights, or is otherwise deemed inappropriate at our sole discretion.
13. Third-Party Services and Links
13.1. Integration
Backona products may integrate with third-party services including, but not limited to, Google APIs (Google Analytics 4, Google Search Console, Google Ads), Facebook (Meta) Marketing API, and other third-party APIs. Where a product supports such integrations (e.g. Backona AI), by connecting them you authorize Backona to access and process data from your accounts on these platforms solely to deliver that product's features. You are responsible for ensuring that you have the necessary rights and permissions to grant Backona access to these third-party accounts. Users must comply with the terms and conditions of these third-party services, and Backona is not responsible for any issues arising from such integrations, including changes to third-party API availability, permissions, or terms of service.
13.2. Revoking Integrations
You may disconnect any third-party integration at any time through the relevant Backona product's account or settings (e.g. Backona AI Settings). You may also revoke access directly through the third-party platform (e.g. Google Account permissions, Facebook Business Integrations settings). Upon disconnection, Backona will no longer access data from the disconnected service. Please refer to our Privacy Policy for details on data retention after disconnection.
13.3. Responsibility
We provide links to third-party websites and services for convenience. We do not endorse, and are not responsible for, the content, accuracy, or practices of these third-party services.
14. Complaints
14.1. Submitting Complaints
Users may submit complaints regarding the Services or these Terms to [email protected]. Complaints should include specific details to facilitate resolution.
14.2. Complaint Resolution
We strive to resolve complaints amicably. If a resolution cannot be reached through our internal process, you may pursue your statutory rights, including referring the matter to an appropriate alternative dispute resolution body or the courts, as outlined in Section 19 (Dispute Resolution). Nothing in these Terms limits your statutory rights as a consumer under applicable law.
15. Termination and Suspension
15.1. Termination by User
Users may terminate their subscription at any time via their Account settings. Access to Services will continue until the end of the current billing cycle.
15.2. Termination by Backona
We reserve the right to terminate or suspend User access for violations of these Terms, failure to pay subscription fees, or other legitimate reasons. Notice of termination will be provided where possible.
15.3. Effects of Termination
Upon termination, User access to the relevant Services will cease, and we may delete any data associated with the Account. Users are advised to back up their data before termination.
16. Disclaimer of Warranties
16.1. Service Availability
Backona provides its Services on an "as is" and "as available" basis. While we strive to maintain a high level of service quality, we do not guarantee that the Services will always be available, uninterrupted, or free from errors.
Backona does not warrant that:
- Uninterrupted Access: The services will be continuously available without interruption.
- Error-Free Operation: The services will be free from errors, bugs, or defects.
- Specific User Requirements: The services will meet all of your specific requirements or expectations.
By using Backona's Services, you acknowledge and agree that you are doing so at your own risk.
16.2. Results
Backona provides tools and services designed to assist you in optimizing your marketing data, integrating analytics, and generating insights, but does not guarantee any specific outcomes, results, or success from the use of our Services. Users should:
- Cross-Check Data: Verify data and insights before making significant business decisions.
- Use Caution in Decision-Making: Exercise caution when applying insights generated by the platform.
By using the Backona services, you accept that results may vary.
17. Limitation of Liability
17.1. Exclusion of Damages
Backona and Beespoke Services Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits or business interruption.
17.2. Maximum Liability
In no event shall the total liability of Backona and Beespoke Services Ltd exceed the amount you have paid to Backona in the 12 months preceding the claim.
17.3. Responsibility for Actions Based on Insights and Consultations
Users are solely responsible for any actions or decisions made based on insights from our software.
17.4. AI-Generated Data and Accuracy
Users must treat outputs from our software as brainstorming tools, not definitive advice. Users are responsible for verifying AI-generated data.
17.5. Data Accuracy and Completeness
Backona is not responsible for errors resulting from flawed input data. Users should ensure data is accurate, complete, and up-to-date.
17.6. Limitation on Data Collection and Interpretation
Backona does not guarantee the accuracy, completeness, or reliability of collected data.
17.7. Third-Party Integrations and Data Sources
Backona is not responsible for data inaccuracies or availability issues from third-party sources.
17.8. User Responsibility for Data Verification
Users must verify all data outputs and analyses generated by the software before relying on them for business decisions.
17.9. Disclaimer of Warranties
Backona provides the Services on an "as is" and "as available" basis without any warranties of any kind, express or implied.
17.10. No Responsibility for User-Generated Content
Backona is not responsible for any content, data, or information generated or submitted by Users.
17.11. No Guarantee of Legal Compliance
Our Services, including Backona CMP, are tools intended to assist you with your compliance obligations. They are not a guarantee, certification or warranty of compliance with any law. Backona does not warrant that your use of the Services will render you compliant with the UK GDPR, the EU GDPR, PECR, the ePrivacy Directive, the CCPA or any other privacy, data protection or electronic communications law. Backona is not a law firm, does not provide legal advice, and no statement in the Services, their documentation, their default or sample texts, our website or our marketing materials constitutes legal advice or a legal opinion. You are responsible for obtaining your own legal advice on your compliance obligations.
17.12. Regulatory Fines, Penalties and Third-Party Claims
Backona is not liable for any fine, penalty, levy, sanction, enforcement action or remediation cost imposed on or incurred by you by a data protection authority, supervisory authority or other regulator, nor for any claim brought against you by a data subject, consumer or competitor, where it arises from:
- your configuration or misconfiguration of the Services, including consent categories, cookie declarations, category mapping and consent gating;
- your own privacy notice, cookie notice or other legal notices, or their absence, inaccuracy or inadequacy;
- your determination of the legal basis for your processing, or of which laws apply to your properties;
- any technology present on your properties that you did not declare in, or connect to, the Services;
- your continued use of a technology after consent for it was refused or withdrawn, where that technology is not gated through the Services; or
- your compliance decisions more generally.
This exclusion applies in addition to, and does not reduce the effect of, Sections 17.1 and 17.2. Nothing in this Section excludes or limits any liability that cannot lawfully be excluded or limited.
17.13. Reliance on Your Configuration and Declarations
The Services operate on the configuration and declarations you supply. Backona does not scan, crawl, audit or otherwise independently verify your properties, and does not verify that your declarations are accurate, complete or correctly categorised. Backona is not liable for any consequence of an inaccurate, incomplete or outdated configuration or declaration.
18. Indemnification
18.1. User Obligations
Users agree to indemnify and hold harmless Backona and its affiliates from any claims, liabilities, damages, or expenses arising out of or in connection with their use of the Services.
18.2. Scope of Indemnification
This includes claims related to User content, violations of these Terms, and unauthorized use of the Services.
18.3. Privacy and Consent Claims
The indemnity in Section 18.1 extends to any claim, investigation, enforcement action or proceeding brought against Backona by a data protection or supervisory authority, a data subject, or any other third party, to the extent it arises from your configuration or use of the Services, your own legal notices, your instructions to Backona as processor, or your breach of your obligations as data controller under the Data Processing Agreement.
19. Dispute Resolution
19.1. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales.
19.2. Jurisdiction
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. Notwithstanding the foregoing, where both parties are businesses (not consumers), disputes may alternatively be settled by binding arbitration under the rules of the London Court of International Arbitration (LCIA) if both parties agree in writing.
19.3. Class Action Waiver
To the extent permitted by applicable law, Users waive any right to participate in class action or representative proceedings against Backona. This waiver may not be enforceable in all jurisdictions, including under EU and UK consumer protection law, and shall not apply where prohibited by law.
20. Final Provisions
20.1. Security Measures
Backona uses industry-standard security measures to protect User data, though no system is infallible. Users should:
- Use Strong Passwords: Keep account passwords secure.
- Monitor Account Activity: Report any suspicious activity.
- Update Security Measures: Complement Backona's security with additional measures.
20.2. Amendments
Backona reserves the right to amend these Terms at any time. Users will be notified of significant changes.
20.3. Assignment
Backona may assign its rights and obligations under these Terms to a third party as part of a business reorganization.
20.4. Entire Agreement
These Terms, together with our Privacy Policy, the Data Processing Agreement and other agreements, constitute the entire agreement between you and Backona. Where these documents conflict, the order of precedence set out in Section 15 of the Data Processing Agreement applies.
20.5. Severability
If any provision of these Terms is deemed invalid, the remaining provisions shall remain in full force and effect.
20.6. Force Majeure
Backona is not liable for any failure or delay in performing obligations due to circumstances beyond its control, such as natural disasters, cyberattacks, or regulatory actions.
